Abstrakty
Rezultatem łączenia firm może być struktura grupy lub struktura niegrupowa, czyli nabycie firmy podporządkowanej, przez zakup jej aktywów. Omówiono przyczyny łączenia się firm, metody połączeń i sposoby zapłaty za akcje firmy podporządkowanej, a także wybór metody sporządzania bilansu skonsolidowanego.
The paper is concerned with the most important methods and causes of combining firms. The combinations can take various forms. The combining process may result in a group structure or a non-group structure, that is the acquasition of a firm by purchase of the subordinated firm's assets. The most important causes of combining firms are: purchase of assets estimated below their value,theory of mass production economics,elimination or reduction of competition,reduction of risk,use of the P/E index. Depending on the form of the new enterprise one should choose the method of paying for the subordinated firm's shares. This decision affects to a considerable degree the development and position of the newly established firm. Thus, the effects of the firm will depend on the selection of ready cash, credit at constant interest, or common shares. For firms that have got a definite position on the market and operate individually it is better to combine to form a group structure. (original abstract)
