Abstrakty

Połączenia przedsiębiorstw mają znaczny wpływ na sytuację różnych grup interesów (stakeholders) i same przedsiębiorstwa. Autor analizuje ten wpływ na gospodarkę i społeczeństwo, przedsiębiorstwa podlegające połączeniu, akcjonariuszy, kadrę menedżerską, inne podmioty otoczenia (np. banki).

The article analysis the situation of different groups of interests following mergers and acquisitions of companies. Many entities and people working for the integrating enterprises and their environment are involved in consolidating activities carried out on the capital market. Results of studies and analyses led in mature market economies show that shareholders of companies being taken over who sell their shares with a bonus as well as entities from the environment (counsellors, arbiters) make the biggest profit from mergers and takeovers. Less convincing are the results as regards economies and enterprises which take over other companies and their shareholders. In those cases favourable or unfavourable results depend on the specifity of particular transactions.(original abstract)
