Abstrakty

W artykule podjęto próbę teoretycznej oceny skuteczności bezpośredniej ścieżki prywatyzacji z punktu widzenia inwestora zewnętrznego. Celem prywatyzacji bezpośredniej jest nie tylko zmiana właściciela, lecz przede wszystkim usprawnienie zarządzania oraz wzmocnienie kapitałowe, technologiczne i rynkowe przedsiębiorstwa. Przedstawiono metody prywatyzacji bezpośredniej oraz ocenę skuteczności poszczególnych metod prywatyzacji bezpośredniej.

The article is devoted to a theoretical discussion of evaluation the efficiency of the direct path of privatization from the point of view of an external investor. The author describes particular privatization methods within this path and evaluates their efficiency using criteria concerning legal simplicity of the particular method, possibility to negotiate conditions of the privatization contract, limitation of additional financial obligations from the side of the investor, adequacy of the investment program, possibility to gain a full control over the enterprise and concerning a lack of entrance barriers. Having evaluated the particular methods, the author describes possibilities to increase efficiency of the least attractive method - the turning over of the enterprise for payable use.(original abstract)
