Abstrakty

Autor omawia źródła i znaczenie władzy organizacyjnej - zwracając uwagę na przywrócenie należnej roli akcjonariuszom - rolę zarządu w systemie sprawowania władz w firmie, oraz zadania i umiejętności naczelnego kierownictwa. Ze względu na ogrom i różnorodność zadań dyrektora naczelnego koniecznym jest - zdaniem Autora - tworzenie przynajmniej trzyosobowego zespołu zarządzającego firmą.

The aim of the article is a presentation of the place and role of the board of directors in the system of enterprise's top management which is constitued by supervisory board (central body whos task is review and assess) and managing director (chairman of the board of directors)- a central managing (executive) body. Of significance are here sources of power among which there are included: owned resources, authority to dispose of resources of others, knowledge, skills and experience, legal, regulations, social norms, charisma, authority to sign and terminate employment contracts, power to reward (punish). Top management is charged with coordinating tasks and performing a managing funcition in an enterprise perceived as a whole. Therefore managerial skills may be divided into functional (functional managers) and general (generalists). The position of the managing director is of particular significance. His role may be described as follows: he/she sets the main aims and takes fundamental decisions to ensure their accomplishment, participates in the setting of aims of his immediate subordinates, takes decisions concerning the appointment of senior managers, coordinates the elementary areas of activity of an enterprise, measures productivity and compares it with the goals set, is an arbiter in the disputes arising among senior management and the final arbiter for lower-rank managers, is responsible for the capital of an enterprise, is a liaison between the owners (e.g. supervisory board) and the enterprise, constitutes a link between the enterprise and environment.
