Przedstawiono podstawowe problemy i zagadnienia związane z przekształceniem spółek na bazie kodeksu handlowego . Omówiono istotę przekształcenia spółek, przyczyny przekształcania spółek z o.o. w spółkę akcyjną, istotę prawną i uwarunkowania przekształcenia spółki z o.o. w spółkę akcyjną, przebieg przekształcenia spółki z o.o. w spółkę akcyjną oraz sporządzenie bilansu szczególnego w przypadku przekształcenia.

Capital flows are one of the most significant characteristics of the market economy of our times. More and more often the processes of either creating complex business organizations or changing from one legal form of an entity (e.g. partnership) to another (e.g. corporation) may be observed. The main aim of the latter is to amass capital, to gain new markets or lower the risk of business operations. The paper is written to present the basic problems and topics connected with this process. It also presents the procedure of changes. The paper discusses the cases of changes made with accordance to Polish commercial code, the most attention is paid to changing the limited partnership into the corporation. In such case, the entity is perceived to be a going concern, although the legal form of its changes. The entity being involved in the process of changing the legal form must go through a complex process, which is important also for taxation reasons.(original abstract)
