The process of transformation popularized the legal form of association of capital, which - as compared to the form of a state-owned enterprise, which was ever-present till 1989, introduced significant changes in the organizational scheme and the range of activity of the managing subjects. The regulations referring to companies provide no distinction between the role performed by the board of directors in a company and its role player in managing the enterprise of a company. In view of this duality of roles and divergent opinions on the shape of a subjective - competitive and procedural schemes for the company's board of directors and at the same time for the enterprise, a problem also appears. It refers to the way of reflecting this scheme in the organizational regulations, especially in the most synthetic view - in a graphic scheme of organization. The author presents four possible solutions of the problem. (original abstract)
