Celem artykułu jest omówienie podstaw problemu przedstawicielstwa oraz jego znaczenia w nadzorze nad przedsiębiorstwem. Ponadto przedstawiono propozycje terminologiczne, mogące stać się podstawą do dalszego rozważania.

The theory of corporate governance, contract theory and agency theory are based on formal modelling and are of an inter- and multi-disciplinary character. The aim of the paper is to present the theoretical foundations of the agency relationship and its role in corporate governance. The second aim is to put forward some proposals for terminology, which can form the basis of further discussion. The role of information asymmetry and incomplete contracts in the agency relationship is also assessed. The paper presents formal models of agency relations with hidden action and hidden knowledge of the agent concerning his situation and environment. In the final part of the paper, the main agency relationships used in the contractual model of the firm are described. (original abstract)
