Abstrakty

W artykule przedstawiono niektóre problemy dotyczące przedsiębiorstwa jako instytucji. Teoria ekonomii nie dysponuje pełną teorią przedsiębiorstwa. Przedsiębiorstwa podejmują w gospodarce rynkowej coraz szerszy zakres działań społeczno-gospodarczych. Coraz częściej kategoria prawna przedsiębiorstwa nie pokrywa się z jego kategorią ekonomiczną. Najlepiej oddaje rzeczywistość gospodarczą twierdzenie, że głównym jego celem jest maksymalizacja dochodowości kapitału. Kontrowersyjnym problemem jest, kto pełni rolę przedsiębiorcy w spółkach kapitałowych: zarząd czy ogół akcjonariuszy (udziałowców). Idea i skutki partycypacji menedżerów w kapitale przedsiębiorstwa. Pytanie, czy wrogie przejmowanie firm należy traktować jako normalne zjawisko ekonomiczne, czy jako swego rodzaju zdziczenie obyczajów biznesowych?

Economic theory does not encompass a full theory of the enterprise, and uses different terminology than the management science. There are several reasons as to why it is difficult to differentiate enterprises from many other forms of the economic activity. The enterprises undertake ever increasing socioeconomic role in the market economy. Increasingly, the legal definition of an enterprise does not match its economic scope. The thesis about the erosion of boundaries between enterprises does not reflect their economic situation. The goals of enterprises were and are variously defined. The thesis that the main goal of the enterprise is the generation of the largest possible return on capital probably best reflects the economic reality. There is a controversy as to who fulfills the role of the entrepreneur in the large joint stock enterprises: the management or the shareholders. The principles and the results of participation of management in the capital of an enterprise. The issue of whether hostile takeovers are the normal elements of the economic life or the degeneration of the business' norms of behavior. (original abstract)
