Wymogi co do treści prospektu emisyjnego w prawie europejskim

Abstrakty

Potrzeba regulacji rynku papierów wartościowych w UE wynika wprost z traktatowych zapisów o wspólnym rynku. Traktatowe swobody przepływu kapitału i usług oraz zasada niedyskryminacji stanowią podstawowe wyznaczniki kierunków rozwoju europejskiego prawa papierów wartościowych, którego pierwsze regulacje pojawiły się w roku 1977. Od tego czasu wydano wiele dyrektyw, zaleceń i rozporządzeń, normujących między innymi zakres informacji, które powinny być uwzględnione w prospekcie emisyjnym wydanym na obszarze Wspólnoty. Ze względu na pewne opóźnienia w implementacji przez polskę tego obszaru acquis communautaire, autorka przypomina reguły i podstawowe akty prawa europejskiego w tej dziedzinie.
