W artykule przedstawiono zagrożenia towarzyszące fazom procesu przejęcia przedsiębiorstwa: etapowi przedakwizycyjnemu, etapowi negocjacyjnemu i etapowi poaktywizacyjnemu. Zaprezentowano wyniki analiz przeprowadzonych przez duże światowe firmy doradcze, dotyczących rynku fuzji i przejęć z punktu widzenia rentowności tego typu inicjatyw dla akcjonariuszy przedsiębiorstw w nie zaangażowanych.

This article discusses the main causes of failure in mergers and take-overs and groups them according to successive stages of purchase: pre-merger, negotiation and post-merger. In the pre--merger phase, threats to the success of take-overs emerge foremost due to wrongly formulated corporate development strategies as well as poor selection of take-over candidates. In the second phase of a merger (negotiation), the danger of failure emerges on account of poorly conducted due diligence and payment of too high a price premium for the take-over of the target company. The post-merger phase is a very difficult process of integrating previously independent entities, during which the cultural differences of the transaction partners come into focus. The article also presents empirical results from research on merger and acquisition processes from the perspective of creating shareholders value as the most proper measure of the return on, and advisability of, conducting the merger. The article also points to the differences in how the success of a transaction is viewed by shareholders and the managers responsible for the merger. (original abstract)
