Abstrakty

Przeprowadzono wstępną charakterystykę nadzoru korporacyjnego wdrożonego w Polsce po 1989 roku. Omówiono jego zasady, regulacje prawne, instytucje oraz funkcje. Zaprezentowano również wstępny przegląd wyników badań empirycznych autorów krajowych i zagranicznych dotyczących oceny nadzoru (władania) korporacyjnego w Polsce.

Despite numerous difficulties, it may be concluded that the building from scratch and development of corporate governance constitutes one of the more important achievements of economic reform in Poland. Corporate governance rules and institutions allow the activities of managers and investors and, more broadly, all stakeholders, to be coordinated relatively efficiently. Poland's capital market, although still smaller and less important than those in developed countries can, in spite of its weaknesses, be viewed as a significant instrument of efficient capital allocation. The aim of this article, which includes the partial results of broader research, is to present the characteristics of corporate governance in Poland after 1989 - its rules, legal regulations, institutions and functions. The paper also contains an attempt to assess the advantages and disadvantages of corporate governance in Poland. To this end, the assumptions of a new methodology for assessing corporate governance are applied.(original abstract)
