Abstrakty
Spółka europejska (SE) kształtuje swoją pozycję prawną za pomocą organów. O charakterze tych organów, decydują przepisy ustrojowe, których określenie materii w przypadku spółki euroepjskiej jest o tyle trudne, że trzeba ją odtworzyć z różnych rozproszonych źródeł prawa, tak wspólnotowego, jak i krajowego. Niemniej jednak, w kwestii organów SE z siedzibą w Polsce, autorzy stwierdzają, że zawsze w takiej spółce będzie działać walne zgromadzenie akcjonariuszy, natomiast o tym, czy zarządzanie i nadzór przybiorą formę modelu monistycznego (rada administrująca) czy dualistycznego (zarząd i rada nadzorcz), zadecyduje wola podmiotów biorących udział w tworzeniu SE.
The aim of this article is to introduce basic regulations concerning the creation and functioning of the Organs of a European company with registered office in Poland. The subject of this article is connected to the fact that SE has been granted a legal personality. This work tries only to point out basic legal regulations related to organs of SE and it puts aside involvement of employees. This article is divided into three parts. The first part - "Introduction" presents the construction of personal statute for a European company and points out methods and fields of research. The second part - "General meeting of shareholders" concerns matters for which the General meeting is given the sole responsibility, as well as terms of convening a general meeting and the procedures of decision making by the General meeting. The third part - "Administrative organ, Board, Supervisory Organ" concerns questions of management and supervision. SE with registered office in Poland shall have the right to choose between two systems in that respect. "One - tier system" - which is a significant novum in our law culture - according to which the Administrative organ functions and "two-tier system" - well known by the polish commercial code - with the board and the supervisory organ. The project of the new polish internal regulation which shall be adopted by Poland in the implementation of Community measures relating specifically to SE, has been found very satisfying by the authors of this article, especially with respect to one-tier system solutions.
