Case study przedstawia sytuację przedsiębiorstwa telekomunikacyjnego w przededniu wejścia inwestora i w konsekwencji zmiany układu właścicielskiego. Artykuł stanowi skrót studium przypadku przygotowanego na XII edycję konkursu "Przedsiębiorczość, finanse i zarządzanie", organizowanego przez Fundację Edukacyjną Przedsiębiorczości (2008). Ma służyć jako materiał dydaktyczny do dyskusji; jego celem nie jest ocena efektywności prowadzonych przez firmę działań. (abstrakt oryginalny)
The article presents a case study on a teleinformatics company just before the entrance of a strategic investor, and therefore before the changes in the ownership structure. The main shareholder developed the company for the last 18 years to its current market leader position. For further dynamic development, the company needs capital and a change in the way of managing. However, from the financial and control point of view of the entrepreneur, it would be better to grow organically without the private equity fund, and go public in five years. The case study shows the reader the practice of corporate governance, i.e. the principles of management and control, and the relations between managers and shareholders regarding their investment in the company. The case study serves also as a canvas to discuss about what determines the growth of a company and what is the relation between strategy and intrategy - the business and financial dimension and the corporate mission. It underlines that although the shareholders have the right to maximize the return on their investment, a company is more than its shareholders. (original abstract)
