Abstrakty

Przedstawiono istotę wykupów menedżerskich i wykupów lewarowanych (kredytowanych). Zaprezentowano rynek wykupów menedżerskich w Europie Zachodniej w oparciu o wartość zrealizowanych akcji i liczbę przeprowadzonych transakcji. Przedstawiono również diagnozę transakcji MBO w Polsce oraz możliwe kierunki ich rozwoju.

British buy-outs market is the most developed in Europe followed by France, Italy, Germany. In 2005 the value of buy-outs in Europe reached the peak with c.a. 124 bin euro (increase of 53%) and the number of deals amounted to 867 (increase of 7%). There are following reasons: low rates of interests in Europe, continuing process of restructurization of European companies, weak financial results of public European companies. Polish buy-outs market is very young and is developing. Not each deal is revealed and that's why is so difficult to calculate the total amount. Approximately 30-40 deals take place in Poland per year. The future challenges of Polish buy-outs market are following: more active PE funds; new debt instruments due to low rates of interests e.g. mezzanine, unsecured bonds; more flexible banks' procedures; some positive Polish buy-outs deals; a lot of potential deals.
