Poniższe opracowanie ma na celu zakreślenie obszarów oddziaływania proponowanego systemu Solvency II na tendencje na rynku fuzji i przejęć, w kontekście innych inicjatyw europejskiego ustawodawcy w zakresie transakcji konsolidacyjnych. (fragment tekstu)

The impact of the Solvency II Project on insurers' proneness to carry on consolidation transactions still requires further analysis. Although the authors of the new solvency and supervisory concepts predict an increase in consolidation of the sector in a short term (resulting also from organizational aspects of activities of insurance groups and risk diversification, important for capital requirements), the issue needs a detailed analysis of both preferences of the insurer's growth strategy (internal/external) and risk diversification in relation to diversifications of the insurer's activity. One may claim that diversification of activity results in diversification only of specific risks (e.g. risk of the insurer's activity - a higher number of damages than predicted before). The other risks are cumulative, esp. the risk of management and administration activity (the risk of decrease in economic effectiveness as a consequence of worsening of management and administration activity, resulting from an overgrown organizational structure). As a comprehensive insurer's risk profile is to be considered for capital requirements calculation in Solvency II, to meet those requirements an influence of the diversification of activity on specific risk should be balanced.(original abstract)
