Managing of Enterprises in Permanent Failure Conditions

Abstrakty
Szczególną sytuację mają te j.s.s.p. (jednosobowe spółki Skarbu Państwa), których termin prywatyzacji dawno minął, nie są objęte programem powszechnej prywatyzacji w ramach NFI, nie działają na zasadach kontraktu menedżerskiego oraz trudno je sprzedać nawet drogą szybkiej sprzedaży. J.s.s.p. maja też specyficzną strukturę zarządzania, istnieje w nich bowiem hierarchiczny układ władzy wynikający z przepisów prawnych dla spółek akcyjnych. Dlatego też przedmiotem niniejszego zainteresowania są właśnie te podmioty gospodarcze, a zarządzanie dotyczy wszelkich szczebli władzy zewnętrznej i wewnętrznej. (fragment tekstu)
Among different enterprises the one-man companies of the public purse which do not achieve success for a longer time are in a specific situation. These are the companies that have not been taken over, either by the program of public privatization, or managerial contract, or by quick selling, because of their hierarchy.
They have no interest for the owner. He wants to sell them quickly, but it is very difficult to do this. The board of directors is not homogeneous because it represents partly the interests of the employees and partly the interests of the owner, which means - in substance - the company as a whole. It takes care that the board of managers prepares the program of activity as well as the plan and controls the activity of the company. It takes care that the state of business will not be worse and softens the conflicts that arise in companies that do not achieve success.
The boards of managers, which work permanently under the conditions of disharmony of the economic functions and conflicts, are in the most difficult situation. A certain kind of solution is the co-operation of all the organs and internal cells of the enterprise, along with the trade unions and middle management staff. (original abstract)
