Wskazane siedem grup przepisów, które regulują likwidację spółek kapitałowych posiada swoje odbicie w przepisach regulujących spółki osobowe, choć w niepełnym stopniu. Pewne jednak spośród nich są nieznane w regulacji likwidacji spółek osobowych; należy wskazać te, które posiadają istotne znaczenie, i dokonać ich oceny poprzez pryzmat tematu opracowania. In the literature on commercial law debate continues on the Commercial Companies Code. The issue boils down to the question whether the regulation in force may be considered exhaustive and optimally regulates situations that may arise in practice, or whether there has been stagnation, and a number of practical questions remain without normative answer, and even determine their way of interpretation of the provisions of the Commercial Companies Code, raises more doubts than a clear and universally accepted decisions. Such problems arise also on the ground of the liquidation of commercial companies. The current regulation does not take into account the fact that capital companies and partnerships in the majority of components are identical. Adjusting the liquidation of these two types of companies seem not to notice. The development is intended, in their intention to demonstrate this fact and an indication of a structural "skeleton" for the liquidation of all commercial companies and suggest its location in the scheme of the Commercial Companies Code.
