W spółkach akcyjnych akcjonariusz ma pełne prawo do uzyskania od zarządzających informacji o jej działaniach i to właśnie on kieruje spółką i podejmuje decyzje o najważniejszych kwestiach. Wydaje się, że zarząd pełni funkcję wykonawczą w stosunku do akcjonariusza, prowadzi sprawy spółki i reprezentuje ją na zewnątrz. Ustawodawca, wymieniając informacje, w przypadku których zarząd może uchylić się od odpowiedzi na pytania, pozostawia kwestie ocenie tych zagadnień właśnie jemu. Z przedstawionych twierdzeń wynika, że informowanie akcjonariuszy jest sprawą priorytetową, a wszyscy akcjonariusze powinni być informowani na równi, jeśli chodzi o zakres wiadomości.(fragment tekstu)
The right to information on a public company is a right of every shareholder irrespective of the represented capital. The starting point of considerations undertaken in the article is the ruling of article 428 of Law: Code of Commercial Companies of 15 September 2000 (Journal of Laws no. 94, item 1037 with later amendments, the last one became effective on 3 August 2009) and article 429 of the same Law. It examines the right of a public company shareholder to the information at general shareholders' meetings and elsewhere as well as indirect information from the Supervisory Council meetings. The right of shareholders to information reflects the equal treatment of interest groups/shareholders in the company. Informing shareholders serves the purpose of protection of minority shareholders in public companies since majority shareholders as the dominating ones make use of a number of additional rights resulting from capital connections. Giving informing to the shareholders is an elementary issue in relations management. Large corporation managers often have a dilemma whether or not to give information to shareholders. The legal regulations do not solve explicitly the problems connected with it. The flow of information depends on the experience and knowledge of managers. The right to information also protects the interest of boards as it sets the framework in which giving information is possible. Eventually, the importance of information reflects the equal treatment of shareholders. Furthermore, the management of information given to shareholders at their request becomes a universal challenge at the level of the highest professionalism requiring from managers simultaneous application of accumulated experience, thorough knowledge as well as universal intuition(original abstract)
