Abstrakty

Dyrektywa UCITS, która została przyjęta w 1985 r. i gruntowanie znowelizowana w 2001 r. na długi czas ustanowiła ramy prawne dla funkcjonowania europejskiego rynku funduszy inwestycyjnych i miała kluczowe znaczenie dla jego dynamicznego rozwoju. Z czasem okazało się, że regulacje ujęte w dyrektywie są zbyt rygorystyczne bądź niewystarczające i hamują dalszy rozwój tego sektora. W związku z tym w roku 2004 podjęto prace mające na celu zmianę ram prawnych funduszy. Ich efektem było przyjęcie znowelizowanej dyrektywy UCITS, zwanej dyrektywą UCITS IV. W artykule podjęto próbę scharakteryzowania i oceny skutków wejścia w życic przepisów dyrektywy w zakresie wprowadzenia paszportu spółki zarządzającej oraz zastąpienia uproszczonego prospektu emisyjnego przez tzw. kluczowe informacje dla inwestorów. Dodatkowo omówiono pokrótce istniejące przepisy prawa europejskiego i polskiego w wybranych obszarach.(abstrakt oryginalny)

UCITS Directive, which was adopted in 1985 and later thoroughly amended in 2001, set up for a long time a legal framework for the European investment funds market functioning and developing . Later it became evident that the regulations included in UCITS's directive were too strict or insufficient and they hampered farther development of this sector. For that reason in 2004 a lot of effort was put to change a legal framework of the funds. As a result a new directive called UCITS IV was amended and accepted in 2009. In the present paper the attempt was made to characterize and assess the results of Directive regulations coming into force within the scope of including management company passport and replacing the simplified prospectus by the Key Investor Information. In addition European and Polish legal norms in selected areas are discussed. (original abstract)
