Celem pracy jest identyfikacja wszystkich istotnych grup wpływu banków krajowych, ocena ryzyka powstania konfliktu na podstawie różnic w indywidualnych dążeniach stakeholders oraz prezentacja uwarunkowań prawno-regulacyjnych kształtujących aktualny zbiór zasad ładu korporacyjnego w polskim sektorze bankowym. The recent financial crisis revised the effectiveness of corporate governance in banks and recognized the importance of: depositors, customers, suppliers, the Financial Supervisor Authority, Banking Guarantee Fund, Central Bank, employees, and even the government on the safety of banks performance. Each of these stakeholders is characterized by a tendency to pursue their own needs, leading to conflicts and remaining odds with the interests of the bank. The aim of this paper is to present the interests of different stakeholders and their compliance with the interests of banks in Poland. The study is demonstrating the interdependence between risk appetite of particular stakeholders and the increase of conflicts. Knowledge on the priorities of each group of interest led to the solutions about new effective corporate governance rules. Special attention was paid to the solutions about new effective corporate governance rules. Special attention was paid to the changes in law acts and regulations during the period of rapid development of the sector and in time of crisis. Implementation of corporate governance means building the necessary internal organizational structures This paper shows their impact on the safety of the sector and highlights the consequences of errors committed by them, leading to uncontrolled increase of risks.
