Preventive Tactics against Hostile Takeovers

Abstrakty
W artykule opisano jedynie niektóre taktyki obrony przed wrogimi przejęciami - taktyki prewencyjne. Ich liczba jest znaczna. Są one stosowane w coraz większym zakresie w Stanach Zjednoczonych. Biorąc pod uwagę fakt, że w Polsce także coraz częściej pojawiają się przypadki wrogich przejęć, można przyjąć, że będą także stosowane różne strategie obrony. Trudno orzec, że będą one jedynie kopią rozwiązań stosowanych w Stanach Zjednoczonych. Niezależnie od tego, czy będą to jakieś zupełnie oryginalne rozwiązania czy też adaptacje technik stosowanych w USA, można mieć nadzieję, że zaprezentowany tu tekst będzie przydatny nie tylko dla tych, którzy chcą lepiej poznać istotę zjawiska wrogich przejęć, ale także dla tych, którzy myślą o zabezpieczeniu "swojej" spółki, przed "niespodziewanym atakiem z zewnątrz". Two categories of preventive tactics to ward off hostile takeovers can be distinguished: a company's changed status and "poisoned pills". The former category has a strictly preventive character because it serves only as deterrent for a potential hostile bidder, while the poisoned pills begin to work only when a hostile bidder buys a certain amount of shares. Changed-status tactics can be divided into a dozen categories. They are increasingly used by American public companies. Opinions about such techniques are divided. Some think that they are not in shareholders' interest.(original abstract)
