Celem artykułu jest próba znalezienia odpowiedzi na pytanie, czy dynamiczne reformowanie japońskiego nadzoru korporacyjnego, poprzez implementację regulacji amerykańskich, ma na celu amerykanizację, czy też modernizację i rozwój corporate governance. Na podstawie analizy porównawczej adekwatnych pozycji literatury przedmiotu i aktów prawnych podjęta została próba pokazania wpływu amerykańskiej legislacji na kształtowanie japońskich regulacji oraz mechanizmów i zasad nadzoru korporacyjnego w poszczególnych epokach. Szczególna uwaga zwrócona została na zmiany zachodzące na tym polu po wprowadzeniu reformy Big Bang w 1997 r. Analiza pozwala wnioskować, że amerykanizacja japońskiego nadzoru korporacyjnego nie jest celem, a etapem modernizacji i rozwoju japońskiej gospodarki. (abstrakt oryginalny)

The objective of the paper is to try to find an answer to the question, whether the dynamic reforms of Japanese corporate governance, due to implementation of American legal regulations and recommendations, is oriented towards Americanisation or modernization and development of Japanese corporate governance. The research is based on a comparative analysis of adequate literature and legal acts. The influence of American legislation on Japanese laws and regulations, mechanisms and principles of corporate governance, in each of the four Epochs, was analysed. Special attention was paid to those developments after the announcement of the Big Bang Reform in 1997. The analysis reveals that the Americanisation of the Japanese corporate governance is not a goal, but a stage of the modernization and development of the Japanese economy. (original abstract)
