Abstrakty
W artykule omówiono w zarysie odpowiedzialność władz spółek za wyrządzone szkody, wynikającą z bardzo wielu ustaw szczegółowych, oraz naświetlono potrzebę znacznie szybszego i aktywniejszego działania zakładów ubezpieczeń w propagowaniu, promowaniu i zawieraniu umów ubezpieczenia OC wszystkich członków władz spółek z o.o. i akcyjnych.
Transformation of economical structure in Poland after 1990 caused first of all a permanet drop in number of State owned and cooperative enterprises in favour of joint stock companies and limited companies. Their activity is based on regulatios of the Commercial Codę which, not far ago, was completetely fallen into oblivion, not only in an everyday practice but also in the law faculties of universities and in higher schools of commerce. The liability of members of namagement boards, supervisory boards and other organs is regulated by the Civil Codę, Commercial Code, Labour Code, Criminal Codę and some 70 Acts, e.g. Bankruptcy Act, the law of environment protection, the law of unfair competition, the law of public trade of securities, and others. So, the liability of company's members of the boards arises from many specific regulations, and, taking into account the present experience, very often illusory one; the final effect of the legal proceedings, if it comes to the worst, is the dismission. It can be expected that in the country based on the legal regulations such impunity period will be stopped before long, and company's members of the boards will be responsible for their decisions and deeds which, as a result of their lack ęualifications, negligence, or intentional acts, caused losses to the company, shareholders or other persons, and will be punished not only as a result of disciplinary measures but also financialy, in form of compensation. As a result of these changes there is a need of accelerated and more active works of insurance companies in the field of propagation, offering and conciusion of third party liability contracts with the members of the boards of joint stock companies and limited companies.(original abstract)
