Abstrakty
Mimo wskazanych różnych systemów i typologii nadzoru korporacyjnego budowanych w teorii, według A. Peszka wydaje się, że za najistotniejsze kryterium trzeba uznać podstawowy cel realizowany w ramach działalności spółki. Z tego punktu widzenia wyróżnia on dwa przeciwstawne modele nadzoru właścicielskiego: - model maksymalizacji majątku akcjonariuszy, - model maksymalizacji majątku spółki2. Pierwszy z nich zakłada, że kapitał akcyjny znajduje się w rękach różnorodnych inwestorów, takich jak fundusze emerytalne, powiernicze. Taką strukturę własności można spotykać w USA i Wielkiej Brytanii. Istotną rolę odgrywa w tym systemie zewnętrzny rynek kapitałowy z systemami fuzji i przejęć spółek. W przypadku modelu drugiego, akcjonariusze traktowani są tylko jako jedna z grup interesariuszy, a zadaniem zarządu spółki jest zapewnić równowagę różnych grup interesów, tak aby pozostawali oni w zdolnej do funkcjonowania koalicji. Stąd konieczność podziału organów reprezentujących właścicieli majątku na radę nadzorczą i odpowiedzialny za maksymalizację majątku spółki zarząd. Niniejszy artykuł koncentruje się na przedsiębiorczym charakterze członków rad nadzorczych; wykorzystano w nim krytyczną analizę literatury. (fragment tekstu)

It seems that shareholders ask themselves this type of question more and more often when they decide on a new member of their supervisory board. The article focuses on a new approach to corporate governance. The author indicates the model of supervisory board, where entreprenurial leadership should intertwine whith, the traditional attitude of leadership and governance based on the 2C principle (comand and control).
