For years corporate social responsibility and corporate governance have been developing separately. The former was believed to address the expectations of stakeholders and emphasize the social and environmental performance of the company. The latter focused on shareholder interests and pursued the maximizing shareholder value paradigm. Recently, the understanding for the need to integrate both concepts arise leading to the dynamic development of the company role in business and society and resulting in the broader perspective of corporate governance integrating financial, environmental and social performance. The aim is to identify the dimensions of integration between corporate social responsibility and corporate governance with respect to company functioning. (original abstract)
Przez lata problematyka społecznej odpowiedzialności biznesu i ładu korporacyjnego rozwijały się oddzielnie. Pierwsza odnosiła się do oczekiwań i postulatów interesariuszy i podkreślała znaczenie społecznego i środowiskowego wymiaru funkcjonowania przedsiębiorstwa. Druga z kolei koncentrowała się na celach akcjonariuszy i bazowała na paradygmacie maksymalizacji wartości dla akcjonariusza i ochronie interesów inwestorów. W ostatnich latach natomiast widoczna jest integracja tych dwóch koncepcji, prowadząca do rozwoju postrzegania roli przedsiębiorstw w gospodarce i społeczeństwie oraz integrująca finansowy, społeczny i środowiskowy wymiar funkcjonowania przedsiębiorstwa. Celem artykułu jest identyfikacja obszarów integrujących społecznej odpowiedzialności biznesu i ładu korporacyjnego w odniesieniu do wymiarów funkcjonowania przedsiębiorstwa. (abstrakt oryginalny)
