Abstrakty

Niniejszy artykuł ma na celu przybliżenie tematyki ładu korporacyjnego w Chińskiej Republice Ludowej. Ze względu na ciągły rozwój chińskiej gospodarki i jej rosnące znaczenie w świecie, znajomość podstaw ładu korporacyjnego jest dla sektora prawa i biznesu wiedzą podstawową. Mogłoby się wydawać, że w państwie komunistycznym pojęcia takie jak ład korporacyjny czy wolny rynek, pozostaną pojęciami pustymi, jednak zostały one przyjęte w specyficznej formie. Aby dobrze zrozumieć charakter ładu korporacyjnego w Chinach, zostanie przybliżony jego historyczny rozwój. Zostaną również przedstawione cechy "ładu korporacyjnego z chińskimi elementami". Chińskie ustawodawstwo cechuje się dużym skomplikowaniem zarówno aktów prawnych, jak i samych przepisów. Z tego powodu przeprowadzona zostanie analiza źródeł prawa poświęconych prawu gospodarczemu w Chinach, ze szczególnym uwzględnieniem Company Law oraz Kodeksu ładu korporacyjnego dla spółek notowanych. W części końcowej zawarte zostaną oceny ostatnich działań chińskiego rządu oraz zostaną nakreślone kwestie, które jeszcze muszą zostać rozwiązane. (abstrakt oryginalny)

Aim of present article is to analyze the topic of corporate governance in People's Republic of China. Due to constant development and improvement of Chinese economy and its growing influence in the world, knowledge of the basics of corporate governance is for banking and legal sector crucial. It might seem, that in communist country, terms like corporate governance, free market would remain only empty concepts, but as a matter of fact, they have been implemented in specific form. Historical development of corporate governance will be provided, in order to understand the features of it in China. Attributes of "corporate governance with Chinese characteristics" will be presented. Moreover, Chinese legislation is known for complicatedness of its legal acts and provisions. Because of that, analysis of those legal acts will be carried out with special consideration of Company Law and Code of Corporate Governance for listed companies. In the last part, thoughts on acts of Chinese government and further problems and aspects that need to be solved, will be presented.(original abstract)
